Aethlon Medical, Inc. (Nasdaq: AEMD), a medical therapeutic company focused on developing products to treat cancer and life-threatening infectious diseases, today announced the pricing of a public offering of an aggregate of 8,100,000 shares of its common stock (or pre-funded warrants in lieu thereof), Class A warrants to purchase up to 8,100,000 shares of common stock, and Class B warrants to purchase up to 8,100,000 shares of common stock, at a combined public offering price of $0.58 per share (or pre-funded warrant) and accompanying warrants. The warrants will have an exercise price of $0.58 per share, subject to an adjustment, will be exercisable immediately upon issuance and, in the case of Class A warrants, will expire on the fifth anniversary of the original issuance date, and in the case of Class B warrants, will expire on the one year anniversary of the original issuance date. The closing of the offering is expected to occur on or about May 17, 2024, subject to the satisfaction of customary closing conditions.
Maxim Group LLC is acting as the exclusive placement agent for the offering.
The gross proceeds from the offering, before deducting the placement agent's fees and other offering expenses, are expected to be approximately $4.7 million. The Company intends to use the net proceeds from this offering for general corporate purposes, which may include clinical trial expenses, research and development expenses, capital expenditures and working capital.
